Terms of Service for OptimizedMarketingInventory

These terms are an agreement between the merchant using OptimizedMarketingInventory and Goldenleaf Technologies. They cover the subscription, what the app's recommendations are and are not, and each side's responsibilities.

The service

OptimizedMarketingInventory is a Shopify app that reads your store's sales, inventory, costs and uploaded advertising spend and produces inventory and marketing plans for you to review. By installing the app you agree to these terms and to our privacy policy.

Subscriptions and billing

The app is sold as modules (a marketing plan and an inventory plan, separately or together) billed through the Shopify Billing API every 30 days at the prices shown on the App Store listing and on the Plans page in the app. A new subscription starts with a free trial of 30 days; billing begins automatically when the trial ends. The trial is granted once per store: changing plans or reinstalling the app carries over only the days that are left. You can cancel at any time from the Plans page or by uninstalling; cancelling before the trial ends means nothing is charged. Charges already billed for a period are not refunded unless the law requires it.

Recommendations, not guarantees

Forecasts, suggested purchase quantities and advertising budget moves are estimates computed from the data available to the app. They depend on the completeness of your store data, the costs and lead times you enter, and market conditions the app cannot see. You decide what to order and what to spend, and you remain responsible for those decisions and for orders sent to your suppliers. We do not promise any level of accuracy, sales, savings or profit.

Your data

Your store data stays yours. You grant us the right to process it only to provide the service, as described in the privacy policy. You are responsible for having the right to upload the advertising data and other files you give the app.

Acceptable use

You may use the app only for your own store and only through the interfaces we provide. You may not reverse engineer the app, resell access to it, or use it to build a competing product.

Availability and changes

We work to keep the app available and may change or withdraw features as the product develops. Scheduled work that affects availability is announced inside the app where possible.

Liability

To the extent the law allows, we are not liable for indirect or consequential losses, including lost profit, lost sales or the cost of stock ordered on the basis of a recommendation, and our total liability for any claim is limited to the subscription fees you paid us in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

Ending the agreement

You can end the agreement at any time by uninstalling the app. We may suspend or end access if you break these terms or if Shopify requires it. On uninstall your data is deleted as described in the privacy policy.
